The agreement between us.

Plain English where it is possible, careful language where it is required. These are the terms that govern your use of Trace during beta and afterwards.

01 — Who we are

Trace is operated by Moai Labs LLC (“Trace”, “we”, “us”). When you sign up or connect an account, you (“you”) agree to these terms. If you are using Trace on behalf of an organisation, you confirm you have the authority to bind that organisation to these terms.

02 — What Trace does

Trace reads transactions from your Xero account and searches your Gmail inbox for matching receipts. We then produce a report showing matched transactions and a list of receipts we could not find. We do not, and will not, give tax, legal, or financial advice. Trace is a tool — the responsibility for your tax position and your books remains yours.

03 — Beta status

Trace is currently in beta. The service may be unavailable without notice. Reports may be incomplete or contain errors. Features may change. Pricing shown on this site is indicative. You should not rely on Trace as your sole record of receipts during this period.

04 — Your account and your data

You are responsible for keeping your account credentials secure and for anything done under your account. You retain ownership of any data you give us access to (transactions in Xero, messages in Gmail). We process that data under the terms set out in our Privacy policy.

05 — Acceptable use

You agree not to:

  • Use Trace to access accounts you do not own or do not have explicit permission to use.
  • Attempt to reverse engineer, scrape, or otherwise circumvent the service.
  • Use Trace to commit, conceal, or facilitate tax fraud or any other unlawful activity.
  • Resell or sublicense access to Trace without our written agreement.
  • Interfere with, disrupt, or impose an unreasonable load on the service.

06 — Termination

You can disconnect Trace from Xero and Google at any time from their respective security settings. You can request deletion of your account by emailing us. We can suspend or close your account if you breach these terms, with notice where reasonably possible.

07 — Warranties and liability

Trace is provided “as is” during beta. To the extent permitted by law we exclude implied warranties of merchantability and fitness for purpose. Our total liability to you for any claim arising out of these terms is capped at the greater of £100 and the total fees you have paid us in the 12 months before the claim. We do not exclude liability where exclusion is not permitted by law (such as for fraud or for death or personal injury caused by negligence).

08 — Intellectual property

Trace, the name, the design of this site, and the software we use to run the service belong to Moai Labs LLC. You can use the service as intended but you do not gain any other rights in it.

09 — Changes to these terms

We can change these terms. If the change is material, we will email you and give you 30 days' notice before it takes effect. Less important changes will be summarised in the changelog visible from the footer.

10 — Governing law

These terms are governed by the laws of England and Wales. Any dispute will be brought in the courts of England and Wales, except that we both keep the right to seek urgent injunctive relief in any court of competent jurisdiction.
